MARKETING CO-BROKERAGE COMMISSION and CONFIDENTIALITY AGREEMENT
*Of course we are open to using your Co-Brokerage Agreements.
This Agreement will confirm our understanding and agreement between undersigned legal Representative(s) and or Broker(s). In the event property(s) or other assets are financed, sold or otherwise transacted, in part or in whole, to a Buyer Introduced and Registered by Taylor Bell Enterprises, LLC (Broker Two) to Your Company Name Here (Broker One). The fee or commission being paid by the Owner (Seller Side) will be paid at the pro-rata share as herein stated. Said Fee or Commission will be paid at closing. (Broker One) assumes the responsibility to provide all concerned parties, all pertinent information - names, addresses, etc., for (Broker Two), such as the escrow agent, acting counsel, or other party handling the disbursements.
(Broker One) must be the Listing Broker or Direct with seller of listed asset. After this agreement is signed and before any marketing commences, (Broker One) agrees to provide complete property summary, pertinent financial data possible photographs of property(s).
This commission is not dependent on a Taylor Bell representative being present at any property showings, meetings or closings. One Half of the fee or commission shall be paid to (Broker One), and One Half of the fee or commission shall be paid to (Broker Two) 50/50 Split.
The undersigned parties also agree to respect the introduction of all parties, Buyers, Sellers, Brokers introduced to them and agree to maintain the confidentiality of said parties and not to complete any other transaction(s) with said party(s) without a mutually agreeable fee arrangement being made between the undersigned parties. The terms of this paragraph shall be binding upon the parties without expiration, and shall apply to any and all future deals with the buyer registered and introduced by Taylor Bell Enterprises, LLC (Broker Two). Any future transactions that (Broker One) closes with any registered buyers from (Broker Two), will result in a fifteen percent referral fee of the (Broker One) commission payable upon closing to (Broker Two).
This Agreement shall also serve to irrevocably instruct the escrow agent, acting counsel, or other party handling the disbursements of any related sale or sales to withhold and, on behalf of the undersigned, to pay this fee or commission from either the proceeds of the transaction or the total fee or commission being paid, directly to Taylor Bell Enterprises, LLC, (Broker Two) or assigns at the closing, on the basis outlined herein above.
In the event of any controversy related to, concerning or arising out of this Fee Agreement, or any facts based upon or involving same, the prevailing party, whether in court or by way of out-of-court settlement, shall be entitled to recover from the non-prevailing party or parties such prevailing party's attorney's fees, court costs, and/or expenses on appeal, if any.
